PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING, BROWSING, OR USING THIS WEBSITE (THE “SITE”), INCLUDING DOWNLOADING ANY CONTENT OR MATERIALS, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS OF USE (“TERMS”). IF YOU DO NOT AGREE, DO NOT USE THE SITE. EmployShare may modify these Terms at any time, without notice. Updated Terms become effective when posted. Your continued use of the Site constitutes acceptance of the revised Terms. You represent that you are an authorized user, legally capable of entering into this agreement, and that your use of the Site complies with all applicable laws.
OWNERSHIP, PURPOSE, AND SCOPE
This Site is owned and operated by EmployShare, Inc. (“EmployShare,” “we,” “us,” or “our”). These Terms govern only your access to and use of the Site. They do not replace, amend, or supersede any separate written agreement you may have with EmployShare, including any payroll, human resources consulting, or administrative services agreement, which shall control in the event of conflict.
NOTHING ON THIS SITE SHALL CONSTITUTE LEGAL, TAX, ACCOUNTING, FINANCIAL, OR REGULATORY ADVICE.
All content, text, graphics, logos, software, interfaces, and materials on the Site (“Content”) are owned by or licensed to EmployShare and protected by U.S. and international intellectual property laws. You may not copy, reproduce, distribute, modify, sell, license, reverse engineer, create derivative works from, or commercially exploit any Content without prior written consent. Unauthorized use of EmployShare trademarks, service marks, logos, meta‑tags, framing, or branding is strictly prohibited.
LAWFUL USE; USER OBLIGATIONS
You agree to access and use the Site only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations, including employment, labor, wage‑hour, tax, privacy, and cybersecurity laws.
This Site is intended for:
- Clients of EmployShare
- Employees of EmployShare’s Clients
- Prospective Clients of EmployShare
- Prospective Employees of EmployShare’s Clients
- EmployShare’s employees and applicants
- Members of the general public located in the United States of America
Users must be at least the legal age of majority in their jurisdiction.
This Site is not directed to children, nor does EmployShare knowingly market to, collect data or personal information from minors.
EmployShare operates from the United States of America and makes no representation that the Site is appropriate or lawful for access outside the United States of America. Users accessing the Site from other locations do so at their own risk and are responsible for compliance with local laws.
Furthermore, you agree not to: (i) use the Site or Content for unlawful purposes; (ii) interfere with Site functionality; (iii) infringe the rights of others; and (iv) rely on Site Content as the sole basis for business, legal, or employment decisions.
THE SITE AND ITS CONTENT ARE PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE LEGAL, TAX, PAYROLL, OR COMPLIANCE ADVICE.
MODIFICATIONS
EmployShare reserves the right to, at any time and without notice to you: (i) modify, update, or remove Content; (ii) suspend or discontinue the Site or any part thereof. You agree that EmployShare shall not be liable for any such changes, modification, or suspension of the Site.
USER SUBMISSIONS
The Site may allow you to submit content, information, or data (“User Data”). You represent that you own or have the necessary rights to submit User Data. You retain ownership of your User Data; however, by submitting it, you grant EmployShare an irrevocable, perpetual, worldwide, royalty‑free license to use, copy, modify, publish, transmit, display, and create derivative works from the User Data in connection with operating and improving the Site. You waive any moral rights associated with the User Data to the extent permitted by law.
ELECTRONIC COMMUNICATIONS
By providing your contact information and submitting a request through the Site, you consent to receive informational communications from EmployShare via email, or telephone. Consent to receive such communications is not a condition of purchase or service. Message and data rates may apply. You may opt out at any time by following the instructions provided in the communication.
ACCOUNT ACCESS AND USER CREDENTIALS
Certain portions of the Site may require login credentials. You are solely responsible for:
- All activity occurring under your credentials
- Safeguarding usernames, passwords, and access codes
- Promptly notifying EmployShare of unauthorized access or security breaches
EmployShare may suspend or terminate access to the Site at any time, with or without notice, at its sole discretion.
Access to secure or restricted portions of the Site is limited to authorized users only.
Any unauthorized access or attempted access may result in civil liability, criminal prosecution, and immediate termination of access rights.
You are solely responsible for all activity conducted through your account, including activity resulting from shared credentials, compromised systems, or failure to secure access information.
EmployShare shall not be liable for losses resulting from your authorization of, or failure to prevent, third‑party access. You may not share, sell, transfer, sublicense, or otherwise disclose your login credentials or access permissions to any third party.
This prohibition includes data aggregators, consultants, analytics services, scraping tools, or any third party seeking to access EmployShare systems on your behalf or for commercial exploitation.
If EmployShare reasonably suspects unauthorized access, credential misuse, or data extraction, EmployShare may immediately suspend or restrict access pending its own investigation.
You agree not to access, monitor, extract, scrape, harvest, or copy content or data from the Site using automated tools, scripts, bots, crawlers, or similar technologies without EmployShare’s prior written consent.
You further agree not to access the Site in a manner that imposes an unreasonable or disproportionately large load on EmployShare’s infrastructure or that exceeds normal human usage patterns.
EmployShare reserves the right to implement traffic controls, rate‑limiting measures, and access restrictions at its sole discretion.
You agree not to bypass, disable, defeat, or attempt to circumvent any security feature, access control, encryption mechanism, or technical safeguard used by EmployShare to protect its systems, data, or users.
Any attempt to probe, scan, test vulnerabilities, or interfere with the proper functioning of the Site is strictly prohibited.
You may not frame, mirror, embed, or replicate any portion of the Site within another website, application, or service without EmployShare’s prior written consent.
Unauthorized links that imply endorsement, affiliation, or sponsorship are prohibited. EmployShare may require removal of any link to the Site at its discretion.
PRIVACY
Your use of the Site is subject to EmployShare’s Privacy Notice, which explains how we collect, use, and protect personal information.
THIRD‑PARTY WEBSITES
The Site may contain links to third‑party websites not controlled by EmployShare. These links are provided solely for convenience. EmployShare does not endorse or assume responsibility for the content, security, or practices of third‑party websites.
WARRANTY DISCLAIMER
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EMPLOYSHARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, ACCURACY, OR AVAILABILITY. YOUR USE OF THE SITE IS AT YOUR OWN RISK.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless EmployShare and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (i) your submitted User Data; (ii) your violation of these Terms; or (iii) your violation of applicable laws or regulations. This obligation survives termination of Site use.
LIMITATION OF LIABILITY
EmployShare shall not be liable for delay or failure to perform due to events beyond reasonable control, including acts of God, natural disasters, pandemics, power failures, network outages, labor disputes, governmental actions, or third‑party service failures.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- EMPLOYSHARE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- EMPLOYSHARE’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED FIFTY U.S. DOLLARS (US $50)
Site materials, including any compliance or training references, do not constitute legal, tax or accounting advice and are not a substitute for professional counsel.
INTERNATIONAL USERS
The Site is controlled and operated from the United States. EmployShare makes no representation that Site Content is appropriate or available outside the U.S. Users accessing the Site from other jurisdictions do so at their own risk and are responsible for compliance with local laws.
ADDITIONAL AGREEMENTS
Certain EmployShare services are governed by separate written agreements. Those agreements control if any conflict exists between them and these Terms.
GOVERNING LAW AND VENUE
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict‑of‑law principles.
Any legal action arising from these Terms shall be brought exclusively in state or federal courts located in Beaver County, Pennsylvania, and the User consents to personal jurisdiction in those courts. Notwithstanding anything to the contrary in this paragraph, EmployShare may apply to a court of any other jurisdiction for injunctive or other equitable relief in respect of a breach or anticipated breach by you of these Terms. The parties waive any right to jury trial in connection with any action or litigation in any way arising out of or related to these Terms.
BINDING ARBITRATION; CLASS ACTION WAIVER
Any claim arising out of or related to these Terms that cannot be resolved by you and us through good faith informal negotiation within a reasonable period of time (not to exceed 30 days after written notice of a claim or dispute), will be settled by binding arbitration conducted before one neutral arbitrator, and governed by the Federal Arbitration Act, 9 U.S.C. §§ 10 and 11 (“FAA”). No class actions, collective actions, or representative proceedings are permitted. Arbitration shall be conducted on an individual basis only. Notice of the demand for arbitration will be filed in writing by either party with the other party to this Agreement and with the American Arbitration Association (the “AAA”) under its Commercial Arbitration Rules. The demand for arbitration will be made within a reasonable time after the claim, dispute or other matter in question has arisen, and in no event will any such demand be made after the date when institution of legal or equitable proceedings based on such claim, dispute or other matter in question would be barred by the applicable statute of limitations. The arbitrator’s decision will be final except for any applicable right of appeal or review under the FAA. Any court or jurisdiction over the parties may enforce the arbitrator’s award.
GENERAL PROVISIONS
Failure to enforce any provision does not waive the right to enforce it later. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

All notices regarding this Site shall be in writing by certified mail or commercial delivery service to EmployShare, Inc., PO Box 963, Beaver Falls PA 15010. Notice shall not be made by facsimile or electronic transmission.
